4 THE ACCOMPANYING CODE, HEREINAFTER CALLED ``THE CODE'', INCLUDING ANY
5 FILES CONTAINED IN THIS DIRECTORY AND ANY OF ITS SUB-DIRECTORIES TO ANY
6 DEPTH (UNLESS PARTICULAR FILES OR SUB-DIRECTORIES ARE EXPLICITLY COVERED
7 BY ANOTHER LICENSE AGREEMENT), IS PROVIDED UNDER THE TERMS AND CONDITIONS
8 OF THIS LICENSE AGREEMENT. DOWNLOADING, REVIEWING OR USING THE CODE
9 CONSTITUTES YOUR ACCEPTANCE OF THIS LICENSE AGREEMENT. IF YOU DO NOT

24 3b) any software subsequently licensed by the new owner(s), which
25 they deem to be related and therefore included in this
26 definition.
27 4. Any derivatives of the above 1, 2 and 3.

31 Any person, entity, company or organization that uses THE CODE for
32 their own internal use, in their capacity as such, but specifically
33 excluding those who pass THE CODE on to third parties.

35 EMPLOYEES, CONTRACTORS OR ASSOCIATES (of an END-USER):

37 Anyone who is employed by the END-USER, which employment is unrelated,
38 in part or in whole, in any way to any of OUR SOFTWARE.

40 INTERNAL MODIFICATION:

42 Any modification that was entirely made by the END-USER in person, by
43 their EMPLOYEES, CONTRACTORS OR ASSOCIATES, or any combination thereof,
44 for their own internal use.

48 A suggestion to add to, delete from or modify THE CODE, including, but
49 not limited to, in descriptive language, in algorithm-specification, or
50 in patch form.

53 2. OWNERSHIP:

55 THE CODE is the intellectual property of the Copyright owner
56 (currently, Amnon Barak or Amnon Shiloh or both). You agree that
57 THE CODE, in whole or in part, including any derivative, is, and shall
58 at all times remain the property of the Copyright owner. You shall
59 have no right, title or interest therein or thereto except as expressly
60 set forth in this LICENSE.

65 You may use THE CODE or its derivatives (as a whole) in the following

139 COPYRIGHT OWNER, DOES NOT WARRANT THAT THE OPERATION OF THE CODE WILL
140 BE UNINTERRUPTED OR ERROR-FREE.

145 You agree to indemnify, defend and hold harmless the Copyright owner,
146 any previous Copyright owners and their officers, and employees, either
147 in their individual capacities or by reason of their relationship to

149 any expense, claim, liability, loss or damages, including any direct,
150 indirect, special, incidental or consequential damages (including lost
151 profits), whether incurred, made or suffered by LICENSEE or by other
152 third parties, in connection with or in any way arising out of the
153 furnishing, performance or use of THE CODE in connection with this
154 agreement. Your obligations include, but are not limited to, your
155 obligation to indemnify, defend, and hold the Copyright owner as well
156 as any previous Copyright owner, their agents, officers and employees
157 harmless in the case of any claim of copyright, trade secret, patent,
158 or any other type of proprietary rights infringement based in any
159 manner on your use of THE CODE as well as your failure for whatever
160 reason to disclose such infringements relating to your CONTRIBUTIONS.

173 11. ISRAEL LAW:

175 This agreement shall be governed by and construed in accordance with
176 the laws of the State of Israel only. The courts of the State of
177 Israel and specifically and uniquely the courts in the district of
178 Tel-Aviv, Israel shall have the sole and only jurisdiction to
179 adjudicate any matter or dispute related to or in connection with this
180 License Agreement.
